Terms of Service

Acceptance of Terms

By accessing or using Sanilog ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you (or the entity you represent) and Sanilog. You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your organization.

Description of Service

Sanilog is a cloud-based field service management platform designed specifically for portable sanitation businesses. The Service includes a web application (app.sanilog.io), a mobile driver application, and related tools for managing inventory, clients, contracts, jobs, routes, invoicing, analytics, and team operations. The Service is provided on a software-as-a-service (SaaS) basis and is accessed via the internet.

Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@sanilog.io if you suspect unauthorized access to your account. Sanilog is not liable for any loss or damage arising from your failure to maintain account security. You may invite team members (dispatchers, drivers, administrators) to your account. You are responsible for their use of the Service under your account.

Subscription and Billing

Paid plans are billed at $59 per active truck per month, billed monthly in advance. A "truck" is any vehicle you dispatch on routes that requires a driver. Activation and Deactivation: You may activate or deactivate trucks at any time. When you deactivate a truck, billing stops and any unused days from the current billing period are credited toward your next invoice. Deactivated trucks remain in your account with all data intact. Free Trial: New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service. Payment: All payments are processed in US dollars (USD) via our third-party payment processor. You authorize us to charge your payment method on a recurring monthly basis. If a payment fails, we will notify you and may suspend your account after 7 days of non-payment. Price Changes: We may change our pricing with at least 30 days written notice. Price changes take effect at the start of your next billing period after the notice period. Enterprise Plans: Organizations with 20 or more trucks may contact us for custom enterprise pricing and terms.

Free Trial

The 14-day free trial provides full access to all Service features with no limitations. No credit card is required. At the end of the trial period, your account will be suspended until you subscribe to a paid plan. Your data will be retained for 30 days after trial expiration, after which it may be permanently deleted. We will send you a reminder before your trial expires.

Data Ownership

Your data remains yours. Sanilog claims no ownership rights over any content, data, or information you or your team upload, enter, or generate through the Service ("Customer Data"). This includes but is not limited to: client records, contracts, invoices, job records, GPS coordinates, photos, notes, and any other business data. You grant Sanilog a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service. We will not access your Customer Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations. You are responsible for ensuring that you have the right to collect and process any data you enter into the Service, including personal data of your clients, employees, and drivers.

Data Export and Portability

You may export your Customer Data at any time through the Service's built-in export functionality. Upon account termination (whether by you or by us), you will have 30 days to export your data. After the 30-day period, your Customer Data will be permanently deleted from our systems within 90 days, except for data we are required to retain by law (such as billing records).

License Grant

Subject to these Terms and payment of applicable fees, Sanilog grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to: sublicense, resell, or distribute the Service; modify, reverse-engineer, or create derivative works of the Service; use the Service to build a competing product; or use the Service in violation of applicable laws.

Acceptable Use

You agree not to: - Use the Service for any unlawful purpose or in violation of any applicable laws or regulations - Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure - Transmit any malicious code, viruses, or harmful content through the Service - Use the Service to store or transmit content that infringes on any third party's intellectual property rights - Attempt to probe, scan, or test the vulnerability of the Service without authorization - Use automated tools (bots, scrapers) to access the Service without our written consent - Share account credentials with unauthorized parties - Use the Service in a way that could damage, disable, or impair the Service for other users Violation of this policy may result in immediate suspension or termination of your account.

Service Availability

We strive to maintain high availability of the Service. While we do not guarantee a specific uptime percentage, our target is 99.9% availability measured monthly, excluding scheduled maintenance windows. We will provide reasonable advance notice of planned maintenance. In the event of a service disruption exceeding 4 consecutive hours (excluding scheduled maintenance), affected customers on paid plans may request a pro-rated service credit for the downtime period. Credit requests must be submitted within 30 days of the incident to support@sanilog.io. The Service relies on third-party infrastructure and internet connectivity. We are not responsible for outages caused by factors outside our control, including internet service provider failures, force majeure events, or issues with your local network or devices.

Intellectual Property

The Service - including its software, design, user interface, documentation, trademarks, logos, and all related intellectual property - is owned by Sanilog and is protected by international copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited license to use the Service as described above. Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate that feedback into the Service without obligation to you.

Termination

By You: You may cancel your subscription at any time through your account settings or by contacting support@sanilog.io. Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods. Any unused days on deactivated trucks will be credited as described in the Billing section. By Sanilog: We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use of the Service poses a risk to other users or our infrastructure. We will provide you with notice and an opportunity to cure the violation where practicable. In cases of egregious violations (fraud, illegal activity, security threats), we may terminate immediately without notice. Effect of Termination: Upon termination, your right to use the Service ceases immediately. You will have 30 days to export your Customer Data. After 30 days, your data will be permanently deleted within 90 days, except for billing records retained for legal compliance.

Limitation of Liability

To the maximum extent permitted by law: Sanilog shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid us for the Service during the 12 months immediately preceding the event giving rise to the claim. These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and regardless of whether Sanilog has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, completely secure, or that defects will be corrected. We do not warrant that the Service will meet your specific requirements or expectations.

Indemnification

You agree to indemnify, defend, and hold harmless Sanilog and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you upload to the Service that infringes a third party's rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to conflict of law provisions. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Stockholm, Sweden. If you are a consumer in the EU/EEA, you retain any mandatory consumer protection rights granted by the law of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@sanilog.io. We will attempt to resolve the dispute within 30 days. If the dispute cannot be resolved informally, either party may proceed with formal legal action in the courts specified above. If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, power outages, internet failures, government actions, or labor disputes. The affected party must provide prompt notice and use reasonable efforts to mitigate the impact.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Service. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the changes take effect.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, and any additional agreements you may enter into with Sanilog (such as enterprise agreements), constitute the entire agreement between you and Sanilog regarding the Service. These Terms supersede all prior agreements, representations, and understandings.
